Requirements
Bachelor’s Degree in Corporate Administration, Law, Business, Finance, Accounting, or a related field.
Professional membership with MAICSA or an equivalent recognised professional body.
Must possess a valid SSM Practising Certificate.
Minimum 8–10 years of experience in corporate secretarial practice, preferably within listed companies or large corporate groups.
Strong knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance, and other relevant regulations.
Proven experience in managing Board and Committee matters, AGMs/EGMs, statutory filings, and corporate governance requirements.
Able to advise Directors and Management on governance, compliance, and regulatory matters.
Strong stakeholder management, interpersonal, and communication skills.
Demonstrated leadership experience in managing, guiding, or mentoring a company secretarial team.
Independent, proactive, organised, and able to manage multiple priorities within tight deadlines.
High level of integrity, professionalism, and discretion when handling confidential and sensitive matters.
Responsibilities
Lead and manage the company secretarial, corporate governance, and compliance functions for the Group and its subsidiaries.
Advise the Board of Directors and Management on company law, corporate governance practices, regulatory requirements, and relevant regulatory changes.
Ensure compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and other applicable statutory obligations.
Act as the Company Secretary and maintain valid licences and professional certifications.
Organise and support Board, Committee, and Shareholder meetings, including AGMs and EGMs.
Prepare and coordinate meeting notices, agendas, board papers, minutes, resolutions, and follow-up actions.
Oversee statutory filings, registers, corporate records, and documentation with relevant regulatory authorities, including SSM and Bursa Malaysia.
Manage corporate exercises such as company incorporation, restructuring, changes in shareholding, acquisitions, disposals, and other corporate transactions.
Review and improve departmental processes, workflows, internal controls, and corporate governance standards.
Lead, guide, and develop the Company Secretarial team to ensure accurate and timely delivery of all responsibilities.
Build and maintain strong working relationships with Directors, Management, regulators, auditors, and external advisers.
Handle ad-hoc corporate projects and assignments as required.
