Job Summary

Sarawak Oil Palms Group is looking for an experienced and highly professional Secretarial Manager to oversee the Group’s corporate secretarial and governance functions. The successful candidate will play a key role in ensuring compliance with statutory and regulatory requirements while supporting the Board and Management on corporate governance matters.


Key Responsibilities
  • Ensure compliance with the Companies Act, Bursa Malaysia Listing Requirements (where applicable), and other relevant statutory and regulatory requirements.
  • Manage and coordinate Board of Directors’ and Board Committees’ meetings, including preparation of agendas, board papers, minutes, and follow-up actions.
  • Advise the Board and Management on corporate governance matters, statutory obligations, and regulatory updates.
  • Maintain and update statutory records, registers, resolutions, and filings with SSM and other relevant authorities.
  • Oversee company incorporation, restructuring exercises, share issuance, and other corporate exercises.
  • Liaise with regulators, auditors, legal advisors, bankers, and external company secretarial service providers when required.
  • Ensure timely submission of annual returns, statutory filings, and compliance-related reports.
  • Lead, manage, and guide the secretarial team while driving continuous process improvements and operational efficiency.


Requirements
  • Licensed Company Secretary / Chartered Secretary (MAICSA / CGP qualification) or equivalent professional qualification.
  • Minimum 5–8 years of relevant experience in corporate secretarial practice.
  • Experience handling group corporate structures and regulated environments is preferred.
  • Familiarity with Bursa Malaysia Listing Requirements will be an added advantage.
  • Strong knowledge of the Companies Act and corporate governance practices.
  • Proven experience in Board and meeting management.
  • High level of integrity, professionalism, and ability to maintain confidentiality.
  • Strong communication, organizational, and stakeholder management skills.
  • Able to work independently under pressure and meet regulatory deadlines.
