Job Summary

Provide strategic advisory to management on recapitalization and investment transactions, lead due diligence and governance design, and develop PropCo’s investment strategy and structure to support Cove’s growth.

Responsibilities

• Provide strategic counsel to management while respecting their final decision-making and negotiation authority
• Lead and manage the recapitalization process in collaboration with investment banks and external advisers
• Analyze and evaluate proposed transaction structures and investor proposals to inform decision-making
• Review detailed valuation models and complex governance arrangements to ensure sound financial and legal frameworks
• Coordinate due diligence activities and deliver comprehensive support through to transaction closing
• Develop and implement PropCo’s investment strategy, ownership structure, and capital framework
• Design PropCo governance frameworks and investment management arrangements to define the strategic relationship with OpCo

Preferred competencies and qualifications

• Extensive senior-level experience in corporate development, investment banking, private equity, or real estate investment, especially with PropCo/OpCo models
• Proven success in managing recapitalization processes, structuring capital, and closing complex transactions alongside investment banks
• Advanced skills in evaluating transaction structures, financial valuations, and corporate governance arrangements
• Strong strategic vision for establishing and scaling property companies and integrating them with operating companies
• Excellent executive-level communication and stakeholder management skills to advise senior management and coordinate with financial and legal advisers
