Agreement & Correspondence Review: Draft, review, negotiate, and rigorously analyze all incoming and outgoing commercial agreements, legal addendums, and formal contractual correspondence with external vendors, suppliers, and clients.
Tracking Renewals & Terminations: Maintain a centralized, robust tracking system for all vendor and client agreements, actively monitoring critical milestones, automatic renewals, notice periods, and termination deadlines to prevent unintended lapses or liabilities.
Proactive Renewal & Termination Handling: Collaborate pro-actively with internal business units, procurement, and external partners well in advance of contract expiration dates to execute timely renewals, renegotiations, or formal termination procedures.
2. Insurance & Liability Oversight
Corporate Insurance Administration: Coordinate with finance, HR, and external insurance brokers to oversee the annual renewal and administration of corporate insurance policies (e.g., General Liability, Professional Indemnity, Directors & Officers/D&O), ensuring alignment with statutory regulations and risk thresholds.
Contractual Risk Transfer & Insurance Review: Scrutinize indemnity, liability caps, and insurance clauses (such as Certificates of Insurance) across all client contracts and vendor agreements to ensure seamless corporate risk transfer.
3. Regulatory Monitoring & Implementation
Regulatory Scanning: Monitor, interpret, and assess changes in local and regional statutory laws, industry regulations, and internal governance frameworks affecting commercial contracts and vendor/client operations.
Policy Translation: Translate complex regulatory updates into clear, actionable internal policies, contracting guidelines, and operational procedures.
4. Compliance Audits & Risk Assessment
Audit Execution: Design and execute routine compliance and contract audits across business units to verify that active vendor and client operations conform strictly to contractual commitments and statutory requirements.
Risk Mitigation & Controls: Identify potential operational gaps, non-compliance risks, or unmanaged contractual liabilities, developing effective risk-mitigation strategies and corrective action plans.
5. Advisory & Documentation Integrity

Repository Management: Maintain comprehensive, audit-ready records of all regulatory filings, compliance reports, insurance documentation, and centralized contract repositories.
