Responsibilities

Position Summary

The Senior Corporate Finance Manager / Vice President is a strategic finance leader responsible for driving the Group’s corporate finance, capital strategy, funding and investment agenda.

Reporting to the CEO and working closely with the Board and senior management, the role will lead and oversee corporate finance transactions, M&A activities, capital raising, banking relationships, investment evaluation, financial due diligence and transaction structuring.

The role will serve as a key financial advisor to the CEO and Board, providing strategic recommendations on capital allocation, funding strategies, acquisitions, investments, business expansion and financial risk. The successful candidate is expected to bring strong corporate finance and M&A transaction experience, with the ability to operate across multiple entities and, where required, international markets.

Key Responsibilities

1. Strategic Corporate Finance Leadership

· Develop and execute the Group’s corporate finance and capital strategy in alignment with long-term business and growth objectives.

· Advise the CEO, Board and senior management on capital allocation, funding structures, investment decisions and financial risks.

· Lead corporate finance initiatives including capital raising, refinancing, restructuring and other strategic financing activities.

· Provide financial analysis and recommendations to support major strategic and business decisions.

· Monitor market developments, financing conditions and opportunities that may impact the Group’s capital strategy.

2. M&A, Investment and Corporate Development

· Lead and/or oversee mergers and acquisitions (M&A), joint ventures, strategic investments and other corporate development initiatives.

· Identify and evaluate potential acquisition and investment opportunities in line with the Group’s strategic objectives.

· Lead financial due diligence, valuation, financial modelling, feasibility analysis and transaction structuring.

· Assess acquisition targets, investment returns, funding requirements, synergies and financial risks.

· Develop and present investment and M&A proposals, including financial analysis and risk assessments to the CEO and Board.

· Lead or support negotiations with shareholders, investors, financial advisors, banks and other transaction stakeholders.

· Oversee transaction execution from initial evaluation and due diligence through to completion and, where applicable, post-transaction integration.

3. Banking, Funding & Capital Management

· Lead and maintain strategic relationships with banks, financial institutions, investment partners and other financing providers.

· Structure and negotiate credit facilities, debt financing, refinancing and other capital-raising initiatives.

· Optimize the Group’s capital structure, financing costs and liquidity position.

· Monitor financing covenants, funding requirements and key financial risks.

· Evaluate alternative financing structures to support business expansion, acquisitions and strategic investments.

4. Financial Due Diligence & Risk Assessment

· Lead financial due diligence for acquisitions, investments, joint ventures and other strategic transactions.

· Assess financial, commercial and transaction risks and provide recommendations to management and the Board.

· Review financial projections, business plans, valuation assumptions and investment returns.

· Identify key financial exposures, commitments and potential liabilities arising from proposed transactions.

· Work closely with Legal, Finance, Tax and external advisors to ensure appropriate financial and commercial assessment.

5. Agreement & Commercial Risk Oversight

· Review major financing, investment, acquisition, joint venture and commercial agreements from a financial and commercial perspective.

· Provide financial input during contract and transaction negotiations.

· Evaluate financial obligations, pricing mechanisms, funding commitments, warranties, indemnities and other material financial terms.

· Ensure transaction and contractual terms are aligned with the Group’s objectives, risk appetite and governance requirements.

6. International & Regional Corporate Finance

· Evaluate and execute corporate finance and investment opportunities involving cross-border transactions and international markets, where applicable.

· Manage financial considerations arising from different jurisdictions, currencies, financing structures and regulatory environments.

· Work effectively with international banks, investors, advisors, professional firms and business partners.

· Provide financial advice on regional expansion, overseas investments and cross-border M&A opportunities.

7. Board & Executive Advisory

· Prepare and present high-quality financial analysis, investment proposals and transaction recommendations to the CEO, Board and senior management.

· Translate complex financial and transaction information into clear business implications and actionable recommendations.

· Provide independent financial perspectives and challenge assumptions where appropriate.

· Maintain high standards of financial governance, confidentiality, integrity and professional judgement.

Qualifications & Experience

The successful candidate must have:

· Bachelor’s Degree in Accounting, Finance, Economics, Business Administration or a related discipline.

· Professional accounting qualification / certification from a recognized professional body, such as MIA, ACCA, CPA, CIMA or equivalent.

· 12+ years of relevant professional experience, with substantial exposure to Corporate Finance and M&A transactions.

· Demonstrated hands-on experience in M&A, including financial due diligence, valuation, financial modelling, transaction structuring, negotiation and deal execution.

· Strong and proven experience in Corporate Finance, including capital raising, debt financing, refinancing, capital structuring and banking negotiations.

· Experience in evaluating and executing acquisitions, joint ventures, strategic investments or other corporate transactions.

· Strong understanding of financial markets, investment analysis, valuation methodologies, treasury and corporate finance principles.

· International or regional experience, particularly exposure to cross-border transactions, overseas investments, international banking or multi-country business operations, will be highly relevant.

· Proven experience working directly with CEO, Board, C-suite executives, shareholders, investors, banks and external advisors.

· Strong commercial acumen with the ability to evaluate complex transactions and high-value agreements.

· Excellent negotiation, stakeholder management, communication and presentation skills.

· Strong analytical capability, financial modelling skills and commercial judgement.

· High integrity, confidentiality and professional independence.

· Experience in a listed company, multinational, diversified Group or fast-growing multi-entity environment will be an advantage.
