Job Description

Responsibilities

At Law Firm of Teo, our practice is focused on corporate and commercial law, transactions and growing businesses.

We work closely with startups, SMEs, founders, investors, investment vehicles and international businesses across Malaysia and beyond. Our work ranges from commercial contracts and corporate structuring to investments, shareholder arrangements, financing, intellectual property, employment matters and day-to-day corporate advisory.

We are looking for someone who wants hands-on exposure to real corporate and commercial legal work, while also supporting selected company law and company secretarial matters where required.

This is a suitable role for someone who wants to develop strong foundations in corporate practice, commercial drafting and transactional work, rather than purely administrative legal work.

Responsibilities

Corporate & Commercial Legal Work

  • Assist lawyers in preparing, drafting, formatting, reviewing and proofreading corporate and commercial agreements and legal documents.
  • Assist with documents such as NDAs, service agreements, employment agreements, shareholder agreements, subscription agreements, share sale documents, loan agreements, IP-related agreements and other commercial contracts.
  • Conduct basic legal and corporate research and assist lawyers in preparing advice, summaries and transaction documents.
  • Assist with corporate transactions, including investments, share issuances and transfers, restructuring, financing and other shareholder or business arrangements.
  • Support legal due diligence, including reviewing corporate documents, agreements and information provided by clients.
  • Assist on corporate matters requiring knowledge of the Companies Act 2016, including directors, shareholders, share capital and corporate approvals.
  • Prepare document checklists, closing sets, signing packs and assist with execution and completion of transactions.
  • Coordinate with clients and counterparties for documents, information, signatures and transaction updates.
  • Maintain proper matter files, precedents and transaction records.
  • Track statutory and transactional deadlines and ensure matters are followed through properly.


General

  • Communicate professionally with clients and external parties.
  • Maintain accurate digital files and internal matter records.
  • Assist lawyers with matter management, scheduling and follow-ups where required.
  • Support other legal and operational matters depending on the needs of the firm.


Requirements

  • Must have a reliable working laptop and mobile device suitable for day-to-day work and communication.
  • Diploma or Degree in Law is preferred. Candidates from Corporate Administration, Business or related disciplines with relevant experience may also be considered.
  • Fresh graduates are welcome to apply.
  • 1-2 years' experience in a law firm, corporate practice, company secretarial firm or legal department is an advantage.
  • Strong interest in corporate law, commercial contracts and business transactions.
  • Basic understanding of the Companies Act 2016 and corporate documentation is an advantage.
  • Able to draft and communicate confidently in English.
  • Fluent in English and Bahasa Malaysia. Mandarin proficiency is an advantage.
  • Proficient in Microsoft Office and Google Workspace.
  • Comfortable adopting legal technology and productivity tools.
  • Strong attention to detail and able to manage multiple matters and deadlines.
  • Able to think critically rather than simply follow instructions.
  • Responsible, organised and reliable in following matters through to completion.
  • Comfortable working in a fast-moving environment where priorities may change depending on client and transaction requirements.
