Confidential – Malaysia-based Mining & Industrial Group is seeking a seasoned finance leader to join its Executive Leadership Team as Chief Financial Officer (CFO). Reporting directly to the CEO and Board of Directors, this pivotal role will drive the Group’s financial strategy, capital management, and long-term value creation. The successful candidate will provide strategic leadership across finance, treasury, investment, corporate planning, governance, taxation, and risk management, while enabling business expansion through mergers and acquisitions, fundraising, and strategic investments.
Key Responsibilities
Strategic Financial Leadership
- Develop and execute the organization’s financial strategy aligned with corporate objectives and long-term growth plans.
- Partner with the CEO and Board to evaluate strategic initiatives, investments, and business expansion opportunities.
- Provide financial insights and strategic recommendations to support executive decision-making.
- Lead enterprise-wide financial transformation, digitalization, and process optimization initiatives.
Capital Raising, Financing & Treasury
- Lead all financing activities including syndicated loans, project financing, structured financing, private equity, debt capital markets, and equity fundraising.
- Establish and maintain strong relationships with banks, financial institutions, investors, private equity firms, and funding agencies.
- Optimize the organization’s capital structure, liquidity, and cash flow to support sustainable growth.
- Manage treasury operations, foreign exchange exposure, interest rate risks, and working capital efficiency.
Mergers & Acquisitions (M&A)
- Lead end-to-end M&A activities including target identification, financial evaluation, valuation, due diligence, negotiations, transaction structuring, and post-merger integration.
- Conduct financial feasibility studies and investment appraisals for acquisitions, divestments, joint ventures, and strategic partnerships.
- Oversee financial, legal, tax, operational, and commercial due diligence processes.
- Ensure successful integration and realization of acquisition synergies.
Financial Performance & Business Partnering
- Drive sustainable topline growth, profitability, EBITDA improvement, and return on investment.
- Lead budgeting, forecasting, financial planning, business performance reviews, and capital allocation.
- Provide commercial and financial support to business units to improve operational and financial performance.
- Establish performance metrics and financial dashboards to drive accountability across the organization.
Corporate Governance & Compliance
- Ensure compliance with financial reporting standards, statutory requirements, Bursa Malaysia (or relevant stock exchange) listing requirements, corporate governance principles, and regulatory obligations.
- Oversee Group taxation strategies, audit, internal controls, and enterprise risk management.
- Maintain strong governance frameworks and financial policies across all subsidiaries.
Investor Relations & Stakeholder Management
- Build credibility and maintain effective relationships with shareholders, institutional investors, analysts, regulators, auditors, rating agencies, bankers, and government authorities.
- Lead investor presentations, Board papers, annual reports, financing proposals, and strategic business reviews.
- Support fundraising exercises and investor engagement activities.
Leadership & Organizational Development
- Lead, mentor, and develop high-performing finance teams across the Group.
- Foster a culture of integrity, accountability, innovation, and continuous improvement.
- Drive finance transformation through automation, analytics, business intelligence, and digital technologies.
Qualifications
- Bachelor's Degree in Accounting, Finance, Economics, Business Administration, or related discipline.
- Professional qualification such as CPA, ACCA, CA, ICAEW, CIMA, or equivalent is mandatory.
- MBA or Master's Degree in Finance or Business Administration is highly desirable.
Experience
- Minimum 18–25 years of progressive finance leadership experience, including at least 8–10 years in a Group CFO, CFO, Finance Director, or equivalent executive role.
- Proven track record in publicly listed companies (PLC), diversified conglomerates, multinational corporations (MNCs), or large private enterprises.
- Extensive experience in capital raising, project financing, syndicated loans, banking relationships, and treasury management.
- Strong hands-on experience in mergers & acquisitions, due diligence, valuation, post-merger integration, and corporate restructuring.
- Experience in mineral resourcing, construction, projects or infrastructures development is highly advantageous.
- Strong exposure to Board governance, investor relations, corporate planning, and enterprise risk management.
