Job Summary
The incumbent will manage a portfolio of clients, delivering comprehensive corporate secretarial services and ensuring compliance with statutory and regulatory requirements in Singapore and overseas jurisdictions. The role includes acting as a trusted advisor and serving as the company’s Qualified Individual (QI).
Responsibilities
Manage all company secretarial matters for a portfolio of corporate clients to ensure accurate and timely compliance.
Perform company incorporations, register foreign branches and representative offices to support client expansion.
Execute striking-off of companies in accordance with regulatory procedures.
Prepare directors’ and shareholders’ resolutions for ongoing corporate secretarial matters to maintain governance standards.
Process applications for Employment Passes, S Passes, and related work passes to facilitate client workforce needs.
Open and manage corporate bank accounts, including updating signatories, to support client financial operations.
Maintain statutory registers and submit statutory returns to ACRA punctually to ensure regulatory compliance.
Ensure adherence to all relevant statutory, regulatory, and corporate governance requirements for both the company and clients.
Serve as the company’s Qualified Individual (QI), overseeing regulatory filings and compliance obligations.
Advise clients on corporate secretarial matters, providing guidance on best practices and regulatory updates to mitigate risks.
Provide corporate secretarial advisory and support for offshore entities, including Cayman Islands and British Virgin Islands (BVI) companies, ensuring compliance with jurisdictional requirements.
Support Singapore Variable Capital Companies (VCCs) by maintaining registers, preparing resolutions, filing with ACRA, and ensuring compliance with Monetary Authority of Singapore (MAS) regulations.
Undertake other corporate or ad-hoc duties as required to support business and client needs effectively.
Required competencies and certifications
ACIS qualification with relevant experience, demonstrating professional competence in corporate secretarial practice.
Preferred competencies and qualifications
Degree or Diploma in Business Administration or Law to support understanding of business and legal frameworks.
Strong knowledge of Singapore Companies Act, ACRA requirements, VCC compliance, and corporate governance practices to ensure regulatory adherence.
Experience using BizFile+ for corporate filings to enhance operational efficiency.
Knowledge of offshore structures, including Cayman Islands and BVI entities, and their compliance requirements to support international client portfolios.
Strong advisory skills to guide clients on corporate secretarial matters, regulatory compliance, and governance best practices.
Excellent organizational, communication, and client management skills to manage multiple clients and tasks effectively.
Ability to act independently and handle multiple clients and tasks efficiently to deliver high-quality service.
