You will oversee and continuously improve company secretarial and corporate governance processes across NS BlueScope Group companies in ASEAN.
You are responsible for ensuring compliance with corporate governance requirements, statutory obligations, Joint Venture Deed requirements, internal approval processes and delegation of authority frameworks. You will also work closely with Board members, senior leadership teams, external advisers and stakeholders across multiple jurisdictions.
What You Will Lead
- Manage company secretarial and statutory compliance requirements across ASEAN entities.
- Coordinate Board and governance meetings, including agenda preparation, board papers, resolutions and minutes.
- Maintain corporate records, statutory registers and entity management databases.
- Ensure compliance with Joint Venture Deed requirements, governance frameworks and delegation of authority processes.
- Support corporate actions such as incorporations, restructurings, director changes and entity rationalization.
- Coordinate with external company secretarial providers, legal counsel and regulators.
- Manage governance reporting and stakeholder communications.
- Drive continuous improvement and digitalization of company secretarial processes.
What You Will Bring
- Bachelor's Degree in Law, Business Administration, Finance, Governance or related discipline.
- Significant experience in Company Secretarial, Corporate Governance or Corporate Legal functions.
- Strong knowledge of Singapore Companies Act, ACRA requirements and corporate governance practices.
- Experience supporting Board and shareholder meetings, corporate actions and statutory compliance.
- Strong stakeholder management and communication skills.
- Experience working within multinational or regional organizations is preferred.
- Professional qualification with CGI/ICSA (or equivalent) is an advantage.
