About the Role
This is a leadership role where you will lead and oversee the Corporate Secretarial Department, managing a portfolio of client companies through our client's shared-services BPO model. You will act as the primary corporate secretarial advisor to multiple client entities, ensuring statutory compliance, governance excellence, and operational efficiency.
Key Responsibilities
1. Department Leadership & Operations
- Lead and manage the Corporate Secretarial Department, including planning, operations, and resource allocation.
- Oversee the firm's corporate secretarial portfolio, ensuring compliance with the Companies Act 2016 and other applicable regulations.
- Provide strategic advice to clients and Management on corporate governance, compliance, restructuring, and corporate actions.
- Review and approve board resolutions, minutes, statutory documents, and regulatory filings.
- Ensure timely submission of all statutory lodgements with the Companies Commission Malaysia (SSM) and other relevant authorities.
- Establish, implement, and continuously improve departmental SOPs, workflows, quality control measures, and service standards.
- Manage department KPIs, monitor productivity, and ensure client deliverables are completed accurately and within agreed timelines.
2. BPO / Shared Services Client Portfolio Management
- Act as the designated corporate secretarial lead for a portfolio of client companies, subsidiaries, or entities.
- Provide end-to-end corporate secretarial services to multiple clients on a BPO basis.
- Handle complex corporate exercises for client entities, including:
- Company incorporations
- Corporate restructurings, mergers, and acquisitions
- Foreign company registrations
- Voluntary liquidations and strike-offs
- Build and maintain strong relationships with clients, regulators, auditors, bankers, legal advisers, and other stakeholders.
3. Team Leadership & Development
- Lead, mentor, and develop managers, executives, and associates within the department.
- Build a high-performing team and develop a strong succession pipeline.
- Drive digitalisation and process improvement initiatives to enhance operational efficiency.
4. Corporate Branding, Public Engagement & Thought Leadership
- Build the Company's reputation as a trusted advisor by sharing practical insights on corporate secretarial matters, corporate governance, statutory compliance, and regulatory developments.
- Collaborate with the Marketing and Business Development teams to develop thought leadership campaigns, public awareness initiatives, and client engagement activities.
- Represent the Company at networking events, industry conferences, business forums, and media engagements to strengthen brand visibility and business opportunities.
5. Stakeholder & Business Development
- Build and maintain strong relationships with clients, regulators, auditors, bankers, legal advisers, and other stakeholders.
- Support business development by identifying opportunities, preparing proposals, and participating in client presentations.
- Report departmental performance, risks, and strategic initiatives to Management.
Job Requirements
Education & Professional Qualification
- Licensed Company Secretary under Section 235 of the Companies Act 2016 (or MAICSA/CGI qualification) is MANDATORY.
- Bachelor's Degree in Corporate Administration, Law, Business Administration, or a related field.
Experience
- Minimum 8 to 10 years of corporate secretarial experience, with at least 3 to 5 years in a managerial or leadership role.
- Proven experience managing a portfolio of clients in a professional services, BPO, or shared-services environment is highly preferred.
- Strong knowledge of the Companies Act 2016, corporate governance, and regulatory compliance.
- Proven experience leading teams and managing a client portfolio.
- Experience handling complex corporate exercises such as incorporations, restructurings, mergers, acquisitions, foreign registrations, liquidations, and strike-offs.
