Job Description

Responsibilities

Intro:
Responsible for a portfolio of clientele which includes Singapore incorporated entities or registered Singapore branch of foreign companies in areas of compliance to the relevant legislations and regulations as well as procedural advisory work.

Some of the things you’ll be doing:
Provide secondment-based corporate secretarial support, assisting the client in handling the full spectrum of corporate secretarial matters including liaise with client’s service providers, while ensuring ongoing compliance with statutory and regulatory requirements under Singapore laws.

Prepare and/or support documentation for:
Incorporation of companies and registration of foreign branches

Board and shareholders’ resolutions and meetings

Corporate actions and other ad hoc corporate exercises

Attend board/committee meetings and also support in minutes transcription

Handle filing of Annual Returns and Financial Statements with ACRA, including lodging of changes to company information and statutory registers.

Liaise with auditors and attend to audit-related queries on behalf of the client, including coordination for statutory audits.

Assist in reviewing existing work procedures, provide feedback and improvement suggestions, and support the implementation of enhanced processes where appropriate.

Perform administrative and coordination tasks relating to client matters and internal compliance procedures.

Manage staff relocation and employment-related statutory matters for clients, where required.

Support onboarding of new clients, conduct ongoing monitoring, and perform client due diligence (CDD) and KYC checks in accordance with regulatory requirements.

Actively follow up on debtor management, including deeper engagement beyond surface-level follow-ups for outstanding client invoices.

Serve as a relationship bridge between the client and the internal Compliance team, particularly in relation to:

Annual file reviews

Verification and updating of client information

Managing information requests efficiently and accurately

Carry out additional ad hoc duties and special assignments as may be required from time to time.

What technical skills, experience, and qualifications do you need?

  • Institute of Chartered Secretaries and Administrators (ICSA) qualification or those pursuing, as well as Diploma in Business Administration/Commerce/Law with a minimum of 5 years of relevant corporate secretarial experience
  • Meticulous individual with strong sense of responsibility, pro-active client servicing aptitude and basic commercial acumen
  • Strong team player with positive working attitude, able to work independently and multi-task
  • Good interpersonal, oral and written communication skills
  • Proficiency in MS Office and knowledge of Viewpoint will be an advantage
  • Strong sense of responsibility
