Support Corporate Governance and Regulatory Compliance Across the MISC Group
MISC Berhad is seeking a dedicated and detail-oriented Executive, Group Secretarial Services to join our Group Secretarial team.
In this role, you will support corporate secretarial and governance functions across the MISC Group, ensuring compliance with relevant laws, regulations, and corporate governance requirements. You will work closely with internal stakeholders, regulatory authorities, external advisers, and Group companies to facilitate effective governance and support the Group's business objectives.
What You'll Be Doing:
Corporate Secretarial Services
- Assist in all aspects of corporate secretarial functions, including the maintenance of statutory records and compliance with regulatory requirements.
- Prepare and coordinate the timely submission of statutory forms, returns, and notifications to relevant authorities.
- Draft Directors' Resolutions, Members' Resolutions, and other corporate secretarial documents.
- Support Bursa Malaysia announcements and disclosures through Bursa LINK.
- Assist in the preparation and production of MISC Berhad's Annual Report.
- Support corporate exercises including incorporation, liquidation, striking-off, and restructuring activities across Group entities.
- Coordinate legalization, certification, and authentication of corporate documents to support domestic and international business requirements.
- Liaise with regulators, auditors, external company secretaries, legal advisers, and other stakeholders on corporate governance matters.
Meeting Coordination & Governance Support
- Coordinate Board Meetings, Board Committee Meetings, General Meetings, and Executive Leadership Team Meetings across the Group.
- Prepare and distribute meeting notices, agendas, minutes, and supporting papers in a timely manner.
- Manage meeting logistics and coordinate the compilation and circulation of meeting materials.
- Ensure governance processes and meeting requirements are properly executed and documented.
Statutory Records & Corporate Documentation
- Maintain and safeguard statutory records, Board papers, meeting minutes, statutory filings, and other confidential corporate documents.
- Ensure accurate and up-to-date maintenance of corporate secretarial records.
- Coordinate the processing and payment of Directors' Fees across the MISC Group.
- Support special assignments and other corporate secretarial matters as required.
What We're Looking For:
Qualifications
- Bachelor's Degree or Professional Qualification in Corporate Administration, Business Administration, Law, or a related discipline.
Experience
- Minimum 5 to 7 years of relevant experience in corporate secretarial practice.
- Experience supporting listed companies and corporate governance activities will be an added advantage.
- Familiarity with Bursa Malaysia requirements and corporate regulatory frameworks is highly desirable.
