Responsibilities

About the role

This is a hands-on role supporting the Head of Legal in overseeing the Group's corporate secretarial, governance and legal matters. The successful candidate will work closely with senior management, business units and external advisers, and should be able to manage matters independently with sound commercial judgement. The role offers broad exposure to corporate governance, commercial contracts, M&A, corporate restructuring and strategic projects.


Key responsibilities

  • Manage day-to-day corporate secretarial and governance matters for the Company and its subsidiaries
  • Coordinate Board and shareholders' meetings, including agendas, notices, minutes and resolutions
  • Prepare directors' and shareholders' resolutions and other corporate documentation
  • Manage ACRA filings, statutory registers and corporate records
  • Support incorporations, director appointments, share transfers, capital changes, restructuring and other corporate matters
  • Draft, review and assist in negotiating commercial agreements, NDAs, MOUs, service agreements and other business contracts
  • Provide practical legal support to business units on day-to-day corporate and commercial matters
  • Assist on M&A, corporate restructuring, joint ventures, investments and other corporate transactions, including legal due diligence and transaction documentation
  • Liaise with external legal counsel on transactions, disputes, litigation, regulatory matters and specialist legal advice
  • Maintain accurate and well-organised legal, corporate and governance records


About you

  • Law degree (LLB or equivalent) from a recognised university/institution preferred
  • Professional qualification or training in Company Secretarial practice (e.g. SAICSA/ICSA) would be an advantage
  • 4 to 7 years of relevant experience in corporate secretarial, corporate legal and/or in-house legal functions
  • Strong practical experience in Singapore corporate secretarial and governance matters, including ACRA filings, Board matters, resolutions and statutory registers
  • Experience in corporate and commercial legal matters, including drafting and reviewing commercial agreements
  • Strong knowledge of Singapore corporate law, Companies Act, ACRA requirements and corporate governance practices
  • Strong drafting, analytical and organisational skills with excellent attention to detail
  • Able to work independently, manage multiple priorities and meet deadlines
  • High level of professionalism, integrity and confidentiality
