ABOUT THE ROLE
This newly established in-house position will take ownership of the company secretarial and corporate governance functions of HCK Capital Group Berhad and its subsidiaries.
The successful candidate will be responsible for ensuring compliance with statutory and regulatory requirements and supporting the Board on governance matters.
KEY RESPONSIBILITIES
- Prepare circular resolutions, annual returns and other statutory forms and documents.
- Ensure all statutory forms and returns are lodged with the Companies Commission of Malaysia within the stipulated deadlines.
- Monitor and ensure statutory records and registers are properly maintained and updated.
- Prepare documents and forms requiring certification by the Company Secretary, including documentation for opening bank and CDS accounts and changing authorised signatories.
- Arrange signatures for resolutions, minutes and other documents, including following up and filing the completed documents in the relevant minute books and files.
- Assist in drafting minutes of meetings as assigned.
- Attend and/or assist in organising Board, Committee and General Meetings, including preparing agenda papers and meeting files.
- Assist the superior with administrative matters relating to compliance with the Company’s Memorandum and Articles of Association, Joint Venture or Shareholders’ Agreements, Companies Act 2016, Securities Commission Guidelines and Bursa Malaysia Securities Berhad Listing Requirements.
- Liaise with external auditors during audit reviews and provide the requested information.
- Liaise with external company secretaries and lawyers concerning secretarial matters for overseas subsidiaries.
- Perform other duties as assigned from time to time.
REQUIREMENTS
- Possess an ICSA qualification or equivalent professional certification. A degree in Law, Accounting or Business with relevant corporate secretarial experience will also be considered.
- Minimum five to eight years of relevant experience, ideally gained within a public-listed company.
- Prior experience in the property development sector would be highly advantageous.
- Must be a Malaysian citizen or permanent resident.
- Excellent written and verbal communication skills in English and Bahasa Malaysia.
- Proficiency in Mandarin is an added advantage.
- Proficient in Microsoft Office.
- Able to adapt and perform in a demanding, fast-paced environment while meeting deadlines.
- A team player who can also work independently with minimal supervision.
