One Legal LLC is a dynamic Singapore law firm with over 20 years of experience across Corporate, Intellectual Property, Capital Markets and Banking.

Our Corporate team is looking for an Associate with 1 to 2 years' PQE to join us in Q*************.

About the team

We give pragmatic legal and transactional advice that helps clients secure investments and scale their businesses. Our clients range from founder-stage companies, funds and SMEs to some of the region’s larger corporations, both private and listed.

What you'll be working on

• Corporate & corporate finance: share and asset acquisitions and disposals, amalgamations and mergers, capital reductions and share buybacks, restructurings, joint ventures, and founder and shareholder arrangements
• Investments: seed, venture, growth and pre-IPO fundraisings, convertible instruments, and private equity, venture capital and strategic minority investments
• Security and lending: facility agreements, security documentation (including share charges, debentures and guarantees), and registration of charges
• Due diligence: legal and transactional due diligence and disclosure exercises
• Commercial: commercial and distribution agreements, technology licensing, franchising structures, and employment and confidentiality agreements
• Governance & compliance: employee equity and incentive plans, corporate governance and regulatory advisory, and corporate secretarial support

What we're looking for

• Admitted as an Advocate & Solicitor of the Supreme Court of Singapore
• 1 to 2 years' PQE in corporate, transactional and/or commercial work
• Strong drafting skills and attention to detail
• A commercial mindset and genuine curiosity about how clients' businesses work
• Comfort taking responsibility and dealing directly with clients
• A collaborative approach and a willingness to learn
