Responsibilities

POSITION SUMMARY

The Contracts Executive shall be responsible for the administration, review, preparation, monitoring, and management of contracts between the Company, clients, subcontractors, suppliers, and other stakeholders. The role is responsible for safeguarding the Company's contractual, commercial, and legal interests throughout the project lifecycle, ensuring compliance with contractual obligations, preserving contractual entitlements, and supporting the successful execution of projects.

The Contracts Executive shall work closely with the Country Manager, Project Managers, Proposal Team, Business Development Team, Procurement Team, Finance Team, and Legal Advisors to ensure all contractual matters are properly managed and documented.

KEY DUTIES & RESPONSIBILITIES1. Contract Administration

  • Prepare, review, administer, and maintain contracts, subcontracts, service agreements, purchase agreements, non-disclosure agreements (NDA), memorandums of understanding (MOU), and other commercial documents.
  • Maintain an organized contract management system and ensure proper filing of all contractual documentation.
  • Monitor contract validity periods, deliverables, milestones, obligations, and key contractual deadlines.
  • Ensure all executed contracts are properly documented and distributed to relevant stakeholders.
  • Maintain a comprehensive register of all active contracts and contractual obligations.

2. Contract Review & Risk Assessment

  • Review contractual terms and conditions to identify commercial, operational, legal, and financial risks.
  • Highlight contractual concerns and provide recommendations to the Country Manager and Management for risk mitigation.
  • Assist in negotiating contractual terms that protect the Company's interests.
  • Coordinate with external legal counsel where required.
  • Ensure contractual terms align with Company policies, procedures, and business objectives.
  • Monitor changes in legislation and contractual practices that may impact the Company's operations.

3. Tender & Proposal Support

  • Work closely with the Proposal Manager and Business Development Team during pre-qualification, tendering, and proposal submission stages.
  • Review tender documents, client contract conditions, and commercial requirements.
  • Assist in preparing tender qualifications, contractual exceptions, and commercial clarifications.
  • Participate in tender clarification meetings and commercial negotiations.
  • Support post-tender activities and contractual discussions aimed at securing project awards.
  • Assist Management in evaluating contractual risks and obligations prior to bid submission.

4. Project Contract Management

  • Monitor contractual compliance throughout project execution.
  • Ensure all contractual obligations are fulfilled in accordance with the contract requirements.
  • Track key contractual deliverables, notices, and milestones.
  • Assist Project Managers in administering contractual correspondence with clients, consultants, subcontractors, and suppliers.
  • Maintain registers for:
  • Variation Orders (VO)
  • Site Instructions (SI)
  • Extension of Time (EOT)
  • Change Orders
  • Claims
  • Contractual Notices
  • Coordinate with project teams to ensure timely issuance of all contractual notices and submissions.

5. Contractual Compliance & Claims Preservation

  • Ensure that Project Managers, Site Managers, Engineers, and project teams fully comply with all contractual notice requirements, documentation procedures, correspondence protocols, and record-keeping obligations stipulated under the contract.
  • Monitor and guide project teams in maintaining proper records of site instructions, delays, disruptions, variations, manpower deployment, equipment utilization, progress reports, daily reports, meeting minutes, correspondence, and other supporting documentation necessary to substantiate contractual claims.
  • Proactively identify events that may give rise to Extension of Time (EOT), Variation Orders (VO), disruption claims, loss and expense claims, prolongation claims, or other contractual entitlements.
  • Ensure timely issuance of notices, submissions, and supporting documentation in accordance with contractual requirements.
  • Conduct periodic reviews of project documentation to ensure the Company's rights and contractual entitlements are preserved.
  • Ensure that no claim, variation, dispute resolution process, adjudication, arbitration, or legal remedy is jeopardized, invalidated, or time-barred due to non-compliance with contractual obligations.
  • Advise and guide project personnel on contractual documentation requirements and best practices.
  • Work closely with the Country Manager and Project Managers to ensure contractual records are maintained in a manner that supports successful claims, dispute resolution, adjudication, arbitration, and legal proceedings when required.

6. Claims & Commercial Support

  • Assist in the preparation, review, and submission of:
  • Extension of Time (EOT) claims
  • Variation Order (VO) claims
  • Additional Works Claims
  • Loss and Expense Claims
  • Disruption Claims
  • Prolongation Claims
  • Final Account Submissions
  • Ensure all claims are properly substantiated with supporting documentation.
  • Coordinate with project teams to obtain records and evidence necessary for claims submissions.
  • Monitor claim status and follow up with clients to expedite approvals and settlements.
  • Assist Management during claim negotiations and dispute resolution processes.

7. Stakeholder Management & Coordination

  • Liaise with clients, consultants, subcontractors, suppliers, legal advisors, and internal departments on contractual matters.
  • Attend project meetings, contract review meetings, commercial discussions, and negotiations when required.
  • Ensure contractual issues are communicated promptly to relevant stakeholders.
  • Build and maintain positive working relationships with clients and project stakeholders.

8. Reporting to the Country Manager

  • Provide regular updates to the Country Manager on all contractual matters, claims, variations, risks, and commercial exposures.
  • Prepare weekly and monthly contract status reports.
  • Maintain a Contract Risk Register and provide recommendations on mitigation measures.
  • Escalate contractual disputes, delays, claims, or risks that may impact project profitability or execution.
  • Support the Country Manager in commercial negotiations and contractual decision-making.
  • Assist in developing and implementing contract management best practices across the Company.
  • Provide recommendations on improving contractual controls and documentation standards.

9. Compliance & Governance

  • Ensure compliance with all contractual obligations, company policies, and applicable laws and regulations.
  • Support internal and external audits relating to contractual matters.
  • Maintain strict confidentiality of contractual, commercial, and proprietary information.
  • Ensure proper governance and document control practices are maintained at all times.

QUALIFICATIONS

  • Bachelor's Degree in Law, Quantity Surveying, Construction Management, Business Administration, Engineering, Contract Management, or a related discipline.
  • Professional certification in Contract Management, Commercial Management, or Quantity Surveying will be an added advantage.

EXPERIENCE

  • Minimum 3 to 5 years of relevant experience in contract administration, commercial management, procurement, quantity surveying, or project contracts.
  • Experience in Engineering, Construction, Oil & Gas, Petrochemical, LNG, Power Generation, Renewable Energy, Industrial Construction, or EPC/EPCC projects is preferred.
  • Familiarity with FIDIC, PAM, PWD, EPC, EPCC, Lump Sum, Unit Rate, and Reimbursable contracts will be an added advantage.

PREFERRED INDUSTRY EXPERIENCE

Candidates with experience in Mechanical Engineering, Oil & Gas, Petrochemical, LNG, Power Generation, Renewable Energy, Industrial Construction, Plant Maintenance, Fabrication, and EPC/EPCC projects will be given preference.

Pay: RM2,500.00 - RM4,000.00 per month
