Responsibilities

SUMMARY OF THE ROLE

MOH Holdings is the holding company of Singapore’s public healthcare clusters and key corporate entities. Sharing the Ministry of Health’s vision to champion a healthy nation and ensure that our people live well, live long and with peace of mind, our role is to enhance public healthcare performance by unlocking synergies and economies of scale.


The Corporate Secretariat Office supports the MOHH Group with corporate secretarial advice, governance, board approval processes, and regulatory compliance with respects to the Companies Act.


Reporting to the Corporate Secretary, the incumbent will assist to supervise a full suite of corporate secretarial and governance responsibilities for the MOHH Group. The role includes managing board and committee governance processes, maintaining succession plans, and ensuring compliance with statutory and regulatory obligations. The successful candidate will work closely with senior stakeholders, including board members, independent directors, MOH, and MOHH Group entities.


JOB RESPONSIBILITIES

  • Ensure compliance with corporate secretarial, corporate governance, statutory and regulatory requirements under the Companies Act, and the Charities Act.
  • Lead and coordinate the organisation and preparation of papers and agenda for board and board committee meetings
  • Maintain board and committee succession plans, and manage director appointments, including orientation, development, and securing necessary MOH and Public Services Division approvals
  • Maintain and manage succession plans for the boards of all MOHH Group entities, in coordination with the Group entities corporate secretarial departments, and MOH – including ex-officio appointments
  • Performing ACRA filings, and updating the company secretarial folders, ensuring accurate and timely updating of applicable database information, eg: director’s particulars, director’s attendance, team calendars and maintaining updated statutory records.
  • Advise and assist the members of the MOHH Board, Committees, and MOHH subsidiaries as regards their duties and responsibilities as directors, compliance with their obligations under the Companies Act and issues on corporate governance.



JOB REQUIREMENTS

Education Requirements:

  • Chartered Secretary qualifications;
  • Alternatively, a good degree in Law, or Business Administration, with strong company secretarial technical knowledge and corporate governance experience.


Other requirements/qualities such as personality traits, interests or skills required for the job:

  • Strong interpersonal, written and verbal communication skills;
  • Demonstrable proficiency in writing minutes and board papers;
  • Stakeholder management – Ability to understand and anticipate the needs of stakeholders, including the board of directors, independent directors and the Ministry of Health;
  • Strong IT skills (including MS Excel, Word, Powerpoint);
  • Ability to work independently in a fast-paced environment to meet deadlines.
  • Possess strong work ethic, good organisation and administrative skills and ability to multi-task.


Years of Experience:

  • Minimum 8 years of relevant experience.
