Job Title: Compliance Officer

Reporting to: CFO

Purpose

To ensure the organization operates within all regulatory requirements, maintains strong governance and internal controls, and manages regulatory risks effectively.

Key Responsibilities

1. MAS Regulatory Reporting & Compliance

• Prepare and submit annual financial returns and CMS licence declarations
• Report changes in key personnel, ownership, or business activities
• Handle representative appointments/cessations
• Monitor and report material breaches and financial resource requirements

2. REIT Compliance

• Ensure adherence to REIT regulations (e.g., leverage, investment limits, distributions)
• Monitor investment restrictions and interested person transactions (IPTs)
• Oversee valuation, disclosures, and governance for related party deals

3. SGX Listing Compliance

• Ensure continuous disclosure obligations are met
• Coordinate market announcements (e.g., acquisitions, financing, key changes)
• Review financial results announcements for compliance

4. AML / Financial Crime

• Maintain AML/CFT framework and policies
• Handle suspicious transaction reporting
• Ensure proper customer due diligence

5. Corporate Governance & Advisory

• Report compliance status and risks to Board and committees
• Advise management on regulatory matters
• Conduct fit and proper assessments for key personnel

6. Compliance Monitoring & Policies

• Implement compliance monitoring programs
• Develop and maintain internal policies (e.g., conflicts, conduct, whistleblowing)

7. Regulatory Liaison

• Act as main contact with MAS and regulators
• Manage inspections, reviews, and regulatory queries

8. Operational Risk & Outsourcing

• Oversee outsourcing compliance and risk assessments
• Monitor and report operational incidents

Key Requirements

• Degree in Finance, Accounting, Law, Business or related discipline
• Minimum 5–10 years of compliance / regulatory experience in: REIT manager, asset management, or CMS licence holder
• Strong knowledge of regulations issued by Monetary Authority of Singapore (MAS), including: Securities and Futures Act (SFA), Code on Collective Investment Schemes (CIS Code – REITs), SGX Listing Rules , AML/CFT requirements in Singapore

• Hands-on experience in: MAS regulatory filings (e.g. Forms 1–5, annual declarations) , REIT compliance (leverage limits, investment restrictions, IPTs) , SGX announcements and continuous disclosure
• Experience in: Developing and implementing compliance policies and programmes , AML/CFT frameworks, CDD/KYC, and suspicious transaction reporting
• Ability to interpret regulations and translate into practical controls

Preferred / Advantageous

• Professional certifications (e.g. CAMS, ICA, CPA, CA, CFA)
• Experience in a listed REIT environment
• Familiarity with property transactions and real estate regulations
• Exposure to compliance systems / RegTech tools
