Requirements
1. Minimum Diploma or Degree qualification.
2. Candidates with experience in handling Singapore secretarial matters will be an added advantage.
3. Able to start work immediately or at short notice is an advantage.
4. At least 1 year of relevant working experience (experience in accounting firms or secretarial firms is an added advantage); fresh graduates from all fields are also encouraged to apply.
5. Strong problem-solving and communication skills.
6. Self-motivated, proactive, and able to work independently.
7. Proficient in Microsoft Office and accounting software applications (AutoCount is an added advantage).
8. Must be bilingual in English and Mandarin, with the ability to communicate effectively with clients.
Responsibilities
1. Corporate Governance & Compliance
2. Ensure full compliance with the Singapore Companies Act and ACRA regulations.
3. Prepare, file, and maintain statutory records, including Annual Returns, AGM/EGM documents, changes in directors/shareholders, and share allotments.
4. Maintain registers of shareholders, directors, and statutory records.
5. ACRA Review & Regulatory Audit Support
6. Lead and coordinate ACRA reviews, ensuring all required documentation and processes are in order.
7. Identify compliance risks and implement corrective measures to strengthen internal controls.
8. Liaise directly with ACRA officers and provide necessary supporting documents during reviews.
9. Board & Shareholders’ Meetings
10. Organize and prepare notices, agendas, and minutes for Board and Shareholders’ meetings.
11. Advise directors on their statutory obligations and corporate governance best practices.
12. Filing & Systems Management
13. Manage electronic submissions via BizFile+ and ensure timely filings.
14. Safeguard company records, common seal, and statutory documents.
15. Cross-team Collaboration & Administrative Support
16. Collaborate with internal teams (e.g. accounting, tax, compliance) to ensure smooth corporate governance processes.
17. Provide assistance and complete ad-hoc assignments as delegated by management.
18. Client & Internal Support (for corporate service providers)
19. Provide company incorporation, maintenance, and dissolution services to clients.
20. Advise clients on corporate governance, compliance requirements, and licensing matters.
