Introduction
Structuring & Execution (S&E) is Temasek’s in-house M&A specialist team within the Investment Group. The team focuses on structuring and executing large and complex transactions across industries globally, including public & private M&A, joint ventures, spin-offs, capital raises, and restructuring (among others).
The successful candidate will be joining a lean and highly collaborative team, working closely with various teams across the Temasek ecosystem to deliver impactful outcomes.
Key Focus Areas
- Deal Structuring: Develop and execute transaction structures to achieve Temasek’s investment and/or divestment objectives
- Financial Analysis: Evaluate financial impact of transaction structures and assist with financial modelling, returns evaluation and due diligence
- Documentation: Assist in reviewing investment term sheets and transaction documents, with a focus on commercial and financial aspects
- Overall Execution: Assist in managing the overall transaction processes, proactively addressing issues & risks and coordinating with internal and external stakeholders to drive successful outcomes
Responsibilities
- Participate in structuring and execution of complex investments and divestments
- Collaborate with industry, markets and portfolio development teams, alongside legal, tax and finance teams to assess and structure deals
- Assist in review transaction terms and documents
- Conduct in-depth financial analysis of potential transaction structures
- Prepare recommendations to deal teams and senior management
Requirements
- Relevant experience of at least 2-5 years with a top-tier private equity, investment bank, corporate finance/M&A firm
- Ability to thrive in fast-paced environments while managing multiple priorities
- Proactive and keen solutions-oriented mindset
- Advanced analytical thinking and financial modelling capabilities
- Strong communication, interpersonal and teamwork skills
- Proficiency with data tools such as Bloomberg, Capital IQ, and Factiva
- Note: Deal structuring experience is not a requirement
