Responsibilities
Job Title: Corporate Secretary
Monthly Salary: UP to $6, 000 (Negotiable)
Working Address: OUE Downtown Gallery, Shenton Way
Working hours: Monday to Friday. 9am to 6pm
Responsibilities and duties
1. Portfolio Management & Compliance
- Manage a portfolio of corporate clients, ensuring full compliance with statutory and regulatory requirements under the Singapore Companies Act.
- Handle end-to-end corporate secretarial matters including company incorporation, striking off, and changes in directors, shareholders, and company structure.
- Ensure timely preparation and submission of statutory filings with ACRA for all assigned clients.
- Monitor compliance deadlines and maintain proper tracking systems to ensure no lapses.
2. Corporate Secretarial & Documentation
- Maintain and update statutory registers, minutes books, and corporate records for all client companies.
- Prepare board resolutions, written resolutions, and other statutory documents accurately and efficiently.
- Ensure proper documentation, filing, and safekeeping of all corporate records.
3. Board & Shareholder Coordination
- Organise and coordinate board meetings and shareholder meetings for clients.
- Prepare meeting agendas, draft minutes, and ensure proper documentation of resolutions.
- Support directors in ensuring adherence to corporate governance practices.
4. Client Advisory & Liaison
- Act as the main point of contact for clients on corporate secretarial matters.
- Provide advisory on compliance requirements, corporate governance, and regulatory updates.
- Liaise with ACRA and other relevant authorities on behalf of clients where necessary.
5. Independent Role Management
- Operate as a standalone corporate secretarial function, managing the full spectrum of responsibilities independently.
- Prioritise and manage multiple client deadlines effectively in a fast-paced environment.
Qualification and Requirements
- Diploma or Degree in Business, Accountancy, or related field.
- Minimum 5 years of corporate secretarial experience in a Corporate Service Provider environment in Singapore.
- RQI-qualified (Registered Qualified Individual) for corporate secretarial practice.
- Strong knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance standards.
- Excellent organisational skills with high attention to detail.
- Strong written and verbal communication skills; able to manage multiple client deadlines independently.
- Ability to work in a fast-paced corporate service environment, handling multiple client portfolios efficiently.
-Self-driven, independent, and capable of managing the corporate secretarial function as a one-person department.
